國務院關于進一步提高
上市公司質量的意見

各(ge)省、自治(zhi)區、直(zhi)轄市人民政(zheng)府,國務院(yuan)各(ge)部委、各(ge)直(zhi)屬機(ji)構:
資本(ben)(ben)市(shi)(shi)(shi)(shi)場在金融運行中(zhong)具有牽(qian)一(yi)發(fa)(fa)(fa)(fa)(fa)而動(dong)全身的(de)作(zuo)用,上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)是資本(ben)(ben)市(shi)(shi)(shi)(shi)場的(de)基(ji)石(shi)。提(ti)(ti)高(gao)上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)質(zhi)量(liang)是推(tui)動(dong)資本(ben)(ben)市(shi)(shi)(shi)(shi)場健康(kang)發(fa)(fa)(fa)(fa)(fa)展(zhan)(zhan)的(de)內(nei)在要(yao)求(qiu),是新時代加快完善社會主義市(shi)(shi)(shi)(shi)場經濟(ji)(ji)體制的(de)重要(yao)內(nei)容。《國(guo)(guo)務院(yuan)批轉證監會關于提(ti)(ti)高(gao)上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)質(zhi)量(liang)意見(jian)的(de)通(tong)知》(國(guo)(guo)發(fa)(fa)(fa)(fa)(fa)〔2005〕34號)印發(fa)(fa)(fa)(fa)(fa)以(yi)來,我國(guo)(guo)上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)數量(liang)顯著增長、質(zhi)量(liang)持(chi)續提(ti)(ti)升(sheng),在促進(jin)國(guo)(guo)民經濟(ji)(ji)發(fa)(fa)(fa)(fa)(fa)展(zhan)(zhan)中(zhong)的(de)作(zuo)用日益凸顯。但也要(yao)看(kan)到(dao),上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)經營(ying)和治理不規(gui)范、發(fa)(fa)(fa)(fa)(fa)展(zhan)(zhan)質(zhi)量(liang)不高(gao)等問題仍較突出,與建設(she)現代化經濟(ji)(ji)體系、推(tui)動(dong)經濟(ji)(ji)高(gao)質(zhi)量(liang)發(fa)(fa)(fa)(fa)(fa)展(zhan)(zhan)的(de)要(yao)求(qiu)還存在差距(ju)。同時,面對(dui)新冠肺炎疫情影響,上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)生(sheng)產經營(ying)和高(gao)質(zhi)量(liang)發(fa)(fa)(fa)(fa)(fa)展(zhan)(zhan)面臨新的(de)考驗。為進(jin)一(yi)步提(ti)(ti)高(gao)上(shang)市(shi)(shi)(shi)(shi)公(gong)司(si)(si)(si)質(zhi)量(liang),現提(ti)(ti)出如下意見(jian)。
一、總體要求
以習近(jin)平新(xin)時代(dai)中(zhong)國特(te)色社會主義思想為(wei)指導,全面(mian)貫徹黨(dang)的十九大(da)和(he)(he)(he)十九屆二中(zhong)、三中(zhong)、四中(zhong)全會精神,認真落實黨(dang)中(zhong)央、國務院決(jue)策部署,貫徹新(xin)發展(zhan)理念(nian),堅持(chi)市場(chang)化(hua)、法治化(hua)方向,按照深化(hua)金融供(gong)給側結(jie)構性改革要求,加(jia)強(qiang)資本市場(chang)基(ji)礎制度建設,大(da)力提(ti)(ti)(ti)(ti)高(gao)(gao)上(shang)市公(gong)(gong)司質量(liang)。堅持(chi)存量(liang)與增量(liang)并(bing)重(zhong)、治標與治本結(jie)合,發揮(hui)各方合力,強(qiang)化(hua)持(chi)續(xu)監管,優化(hua)上(shang)市公(gong)(gong)司結(jie)構和(he)(he)(he)發展(zhan)環境(jing),使上(shang)市公(gong)(gong)司運作(zuo)規范性明(ming)顯(xian)提(ti)(ti)(ti)(ti)升,信息披露質量(liang)不斷改善(shan),突(tu)出問題得到有(you)(you)效解決(jue),可持(chi)續(xu)發展(zhan)能力和(he)(he)(he)整體質量(liang)顯(xian)著(zhu)提(ti)(ti)(ti)(ti)高(gao)(gao),為(wei)建設規范、透明(ming)、開放、有(you)(you)活力、有(you)(you)韌性的資本市場(chang),促(cu)進經濟高(gao)(gao)質量(liang)發展(zhan)提(ti)(ti)(ti)(ti)供(gong)有(you)(you)力支撐。
二、提高上市公司治理水平
(一)規(gui)(gui)范(fan)公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)和(he)(he)內(nei)(nei)部控(kong)(kong)(kong)制。完善公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)制度(du)規(gui)(gui)則,明確控(kong)(kong)(kong)股(gu)股(gu)東、實(shi)際控(kong)(kong)(kong)制人(ren)(ren)、董(dong)事(shi)(shi)(shi)(shi)、監(jian)(jian)事(shi)(shi)(shi)(shi)和(he)(he)高(gao)級(ji)管理(li)(li)(li)(li)(li)(li)人(ren)(ren)員(yuan)(yuan)的(de)(de)(de)(de)職責界限和(he)(he)法(fa)律責任。控(kong)(kong)(kong)股(gu)股(gu)東、實(shi)際控(kong)(kong)(kong)制人(ren)(ren)要(yao)履行(xing)誠信義(yi)務(wu),維護上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)獨立(li)性(xing)(xing),切(qie)實(shi)保(bao)障上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)和(he)(he)投(tou)資者的(de)(de)(de)(de)合(he)法(fa)權(quan)益。股(gu)東大(da)會、董(dong)事(shi)(shi)(shi)(shi)會、監(jian)(jian)事(shi)(shi)(shi)(shi)會、經理(li)(li)(li)(li)(li)(li)層(ceng)要(yao)依法(fa)合(he)規(gui)(gui)運作(zuo),董(dong)事(shi)(shi)(shi)(shi)、監(jian)(jian)事(shi)(shi)(shi)(shi)和(he)(he)高(gao)級(ji)管理(li)(li)(li)(li)(li)(li)人(ren)(ren)員(yuan)(yuan)要(yao)忠實(shi)勤(qin)勉履職,充分發(fa)揮獨立(li)董(dong)事(shi)(shi)(shi)(shi)、監(jian)(jian)事(shi)(shi)(shi)(shi)會作(zuo)用。建立(li)董(dong)事(shi)(shi)(shi)(shi)會與投(tou)資者的(de)(de)(de)(de)良好(hao)溝通(tong)機制,健(jian)全機構(gou)投(tou)資者參與公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)的(de)(de)(de)(de)渠(qu)道和(he)(he)方式(shi)。科(ke)學界定國有控(kong)(kong)(kong)股(gu)上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)相關方的(de)(de)(de)(de)權(quan)責,健(jian)全具有中國特色(se)的(de)(de)(de)(de)國有控(kong)(kong)(kong)股(gu)上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)機制。嚴格執行(xing)上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)內(nei)(nei)控(kong)(kong)(kong)制度(du),加(jia)快推行(xing)內(nei)(nei)控(kong)(kong)(kong)規(gui)(gui)范(fan)體系(xi),提(ti)升(sheng)內(nei)(nei)控(kong)(kong)(kong)有效性(xing)(xing)。強化上(shang)(shang)(shang)市(shi)公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)底線要(yao)求,倡導最佳(jia)實(shi)踐(jian),加(jia)強治理(li)(li)(li)(li)(li)(li)狀況信息披露,促進(jin)提(ti)升(sheng)決策(ce)管理(li)(li)(li)(li)(li)(li)的(de)(de)(de)(de)科(ke)學性(xing)(xing)。開展公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)專項行(xing)動,通(tong)過公(gong)(gong)(gong)司(si)(si)(si)(si)自查、現場檢查、督促整改,切(qie)實(shi)提(ti)高(gao)公(gong)(gong)(gong)司(si)(si)(si)(si)治理(li)(li)(li)(li)(li)(li)水平。(證(zheng)監(jian)(jian)會、國務(wu)院國資委、財政部、銀(yin)保(bao)監(jian)(jian)會等單(dan)位(wei)負責)
(二)提(ti)升(sheng)(sheng)信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)質(zhi)量。以提(ti)升(sheng)(sheng)透明(ming)度為目標,優(you)(you)化(hua)規(gui)則(ze)(ze)體系,督促上(shang)市公(gong)司、股東及相關(guan)信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)義(yi)務人真實、準確(que)、完(wan)整、及時、公(gong)平披(pi)(pi)露(lu)(lu)(lu)信(xin)息(xi)(xi)。以投(tou)資(zi)(zi)者需求為導(dao)向,完(wan)善(shan)分行(xing)(xing)業(ye)信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)標準,優(you)(you)化(hua)披(pi)(pi)露(lu)(lu)(lu)內容,增強信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)針對性和(he)有(you)效性。嚴(yan)格執行(xing)(xing)企業(ye)會(hui)計準則(ze)(ze),優(you)(you)化(hua)信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)編報規(gui)則(ze)(ze),提(ti)升(sheng)(sheng)財(cai)務信(xin)息(xi)(xi)質(zhi)量。上(shang)市公(gong)司及其他信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)義(yi)務人要充分披(pi)(pi)露(lu)(lu)(lu)投(tou)資(zi)(zi)者作出價值判斷和(he)投(tou)資(zi)(zi)決策所必需的信(xin)息(xi)(xi),并(bing)做到簡(jian)明(ming)清晰、通俗易懂。相關(guan)部門(men)和(he)機構要按照資(zi)(zi)本(ben)市場(chang)規(gui)則(ze)(ze),支持(chi)、配合(he)上(shang)市公(gong)司依法依規(gui)履(lv)行(xing)(xing)信(xin)息(xi)(xi)披(pi)(pi)露(lu)(lu)(lu)義(yi)務。(證監會(hui)、國務院國資(zi)(zi)委、工業(ye)和(he)信(xin)息(xi)(xi)化(hua)部、財(cai)政部等(deng)單位負責)
三、推動上市公司做優做強
(三)支持(chi)優(you)質企業(ye)上(shang)市(shi)。全(quan)面推行、分步實施證券發(fa)(fa)行注冊制(zhi)。優(you)化發(fa)(fa)行上(shang)市(shi)標準,增(zeng)強包(bao)容性。加強對(dui)擬(ni)上(shang)市(shi)企業(ye)的培育和輔(fu)導,提(ti)升(sheng)擬(ni)上(shang)市(shi)企業(ye)規范(fan)化水(shui)平。鼓勵和支持(chi)混合所(suo)有制(zhi)改革試點企業(ye)上(shang)市(shi)。發(fa)(fa)揮股(gu)權投資(zi)(zi)機構在促進公司(si)優(you)化治理、創(chuang)新創(chuang)業(ye)、產業(ye)升(sheng)級等方面的積極作用。大力發(fa)(fa)展(zhan)創(chuang)業(ye)投資(zi)(zi),培育科(ke)技型、創(chuang)新型企業(ye),支持(chi)制(zhi)造業(ye)單項冠(guan)軍、專精特(te)新“小(xiao)(xiao)巨人(ren)”等企業(ye)發(fa)(fa)展(zhan)壯大。發(fa)(fa)揮全(quan)國(guo)中小(xiao)(xiao)企業(ye)股(gu)份(fen)轉讓系統、區域性股(gu)權市(shi)場(chang)和產權交易市(shi)場(chang)在培育企業(ye)上(shang)市(shi)中的積極作用。(證監會、國(guo)務院國(guo)資(zi)(zi)委、國(guo)家發(fa)(fa)展(zhan)改革委、財政部、工業(ye)和信息化部等單位與各省級人(ren)民政府負責)
(四)促進市(shi)(shi)(shi)場化并(bing)購(gou)重(zhong)組。充分發(fa)(fa)揮資(zi)(zi)(zi)本市(shi)(shi)(shi)場的并(bing)購(gou)重(zhong)組主渠(qu)道(dao)作用,鼓勵上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司盤(pan)活存量(liang)、提質增效、轉型發(fa)(fa)展。完善上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司資(zi)(zi)(zi)產重(zhong)組、收購(gou)和分拆上(shang)(shang)(shang)市(shi)(shi)(shi)等(deng)(deng)制(zhi)度,豐富支(zhi)付(fu)及融資(zi)(zi)(zi)工(gong)具,激發(fa)(fa)市(shi)(shi)(shi)場活力。發(fa)(fa)揮證券市(shi)(shi)(shi)場價格、估值、資(zi)(zi)(zi)產評估結果在國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產交易定價中的作用,支(zhi)持國(guo)(guo)有(you)(you)企業(ye)依托(tuo)資(zi)(zi)(zi)本市(shi)(shi)(shi)場開展混合(he)所(suo)有(you)(you)制(zhi)改革(ge)。支(zhi)持境(jing)內上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司發(fa)(fa)行(xing)股份購(gou)買(mai)境(jing)外(wai)優(you)質資(zi)(zi)(zi)產,允許更(geng)多符合(he)條件的外(wai)國(guo)(guo)投(tou)資(zi)(zi)(zi)者(zhe)對(dui)境(jing)內上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司進行(xing)戰略投(tou)資(zi)(zi)(zi),提升上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司國(guo)(guo)際競(jing)爭力。研究拓寬社會(hui)資(zi)(zi)(zi)本等(deng)(deng)多方參與上(shang)(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司并(bing)購(gou)重(zhong)組的渠(qu)道(dao)。(證監會(hui)、工(gong)業(ye)和信息化部(bu)、國(guo)(guo)務(wu)院(yuan)國(guo)(guo)資(zi)(zi)(zi)委、國(guo)(guo)家發(fa)(fa)展改革(ge)委、財(cai)政部(bu)、人(ren)民(min)銀(yin)行(xing)、商務(wu)部(bu)、市(shi)(shi)(shi)場監管總(zong)局、國(guo)(guo)家外(wai)匯局等(deng)(deng)單位(wei)與各省級人(ren)民(min)政府負責)
(五)完(wan)善上市(shi)(shi)(shi)(shi)公司(si)融(rong)資(zi)制(zhi)度。加強資(zi)本市(shi)(shi)(shi)(shi)場融(rong)資(zi)端和(he)投資(zi)端的(de)協(xie)調平衡,引(yin)導(dao)上市(shi)(shi)(shi)(shi)公司(si)兼顧(gu)發(fa)(fa)展(zhan)(zhan)需(xu)要和(he)市(shi)(shi)(shi)(shi)場狀(zhuang)況(kuang)優(you)化融(rong)資(zi)安(an)排。完(wan)善上市(shi)(shi)(shi)(shi)公司(si)再融(rong)資(zi)發(fa)(fa)行條件(jian),研究推出更加便捷(jie)的(de)融(rong)資(zi)方式。支(zhi)持上市(shi)(shi)(shi)(shi)公司(si)通過發(fa)(fa)行債(zhai)(zhai)券(quan)等(deng)方式開展(zhan)(zhan)長(chang)期(qi)限債(zhai)(zhai)務(wu)融(rong)資(zi)。穩步(bu)發(fa)(fa)展(zhan)(zhan)優(you)先股(gu)、股(gu)債(zhai)(zhai)結合(he)產(chan)品。大力發(fa)(fa)展(zhan)(zhan)權益(yi)類(lei)基金。豐(feng)富風險管理工具。探(tan)索建(jian)立對機(ji)構投資(zi)者的(de)長(chang)周期(qi)考核機(ji)制(zhi),吸引(yin)更多(duo)中長(chang)期(qi)資(zi)金入市(shi)(shi)(shi)(shi)。(證(zheng)監會、財政部、人(ren)民銀(yin)行、國家發(fa)(fa)展(zhan)(zhan)改(gai)革委、銀(yin)保監會等(deng)單(dan)位負責)
(六)健全激(ji)勵約束機(ji)制。完善上市(shi)公(gong)司股權激(ji)勵和(he)員工持(chi)股制度(du),在對(dui)象(xiang)、方式、定(ding)價等方面作出更加(jia)靈活的安排。優化政策環(huan)境,支持(chi)各類上市(shi)公(gong)司建立健全長(chang)效激(ji)勵機(ji)制,強化勞(lao)動者(zhe)和(he)所有者(zhe)利益共享,更好(hao)吸引和(he)留住(zhu)人才,充分調動上市(shi)公(gong)司員工積極(ji)性。(證監會、國務院(yuan)國資委、財政部等單位負(fu)責(ze))
四、健全上市公司退出機制
(七)嚴(yan)格退市(shi)(shi)(shi)監(jian)管。完善退市(shi)(shi)(shi)標準,簡(jian)化(hua)退市(shi)(shi)(shi)程序(xu),加大退市(shi)(shi)(shi)監(jian)管力(li)度。嚴(yan)厲(li)打(da)擊通過財務造假(jia)、利益輸送、操縱市(shi)(shi)(shi)場(chang)等(deng)方式惡意規避退市(shi)(shi)(shi)行為(wei),將缺乏持(chi)續經(jing)營能(neng)力(li)、嚴(yan)重違法(fa)違規擾亂市(shi)(shi)(shi)場(chang)秩(zhi)序(xu)的(de)公司及時清出(chu)市(shi)(shi)(shi)場(chang)。加大對(dui)違法(fa)違規主體的(de)責(ze)任追究力(li)度。支持(chi)投(tou)資者依法(fa)維權(quan),保護(hu)投(tou)資者合法(fa)權(quan)益。(證(zheng)監(jian)會、最高人(ren)民法(fa)院、公安部、國務院國資委等(deng)單位與(yu)各省級人(ren)民政府負責(ze))
(八(ba))拓寬多元(yuan)(yuan)化退出渠道。完(wan)善并(bing)購重(zhong)組和(he)(he)破產(chan)(chan)(chan)重(zhong)整等制度,優化流(liu)程、提高效(xiao)率,暢(chang)通(tong)主動退市(shi)、并(bing)購重(zhong)組、破產(chan)(chan)(chan)重(zhong)整等上市(shi)公司多元(yuan)(yuan)化退出渠道。有關地區和(he)(he)部門要綜合施(shi)策,支持上市(shi)公司通(tong)過并(bing)購重(zhong)組、破產(chan)(chan)(chan)重(zhong)整等方式出清風(feng)險(xian)。(證監會(hui)、最高人民法院、司法部、國務(wu)院國資委等單(dan)位與(yu)各省級人民政府負責)
五、解決上市公司突出問題
(九)積(ji)極穩妥化解上市(shi)公(gong)司(si)(si)股(gu)(gu)票質押(ya)風險。堅持(chi)控制增(zeng)量、化解存(cun)量,建立多部(bu)門共同參(can)與(yu)的上市(shi)公(gong)司(si)(si)股(gu)(gu)票質押(ya)風險處置機(ji)制,強(qiang)化場(chang)內外(wai)一致性(xing)監管,加強(qiang)質押(ya)信息(xi)共享。強(qiang)化對金融(rong)機(ji)構(gou)、上市(shi)公(gong)司(si)(si)大(da)股(gu)(gu)東及實際(ji)控制人的風險約束(shu)機(ji)制。嚴(yan)格(ge)執行(xing)(xing)分層次、差(cha)異化的股(gu)(gu)票質押(ya)信息(xi)披露制度。嚴(yan)格(ge)控制限售股(gu)(gu)質押(ya)。支持(chi)銀行(xing)(xing)、證券、保(bao)險、私募股(gu)(gu)權基金等(deng)機(ji)構(gou)參(can)與(yu)上市(shi)公(gong)司(si)(si)股(gu)(gu)票質押(ya)風險化解。(證監會、最(zui)高(gao)人民(min)(min)法(fa)院、人民(min)(min)銀行(xing)(xing)、銀保(bao)監會、國務院國資委等(deng)單位與(yu)各省級人民(min)(min)政府負責)
(十)嚴肅處置資金占(zhan)(zhan)(zhan)用(yong)、違(wei)規(gui)擔(dan)(dan)保(bao)(bao)(bao)問(wen)(wen)題(ti)(ti)(ti)。控(kong)股股東、實(shi)(shi)際控(kong)制(zhi)人及相(xiang)關(guan)方(fang)不(bu)得以任何方(fang)式侵占(zhan)(zhan)(zhan)上(shang)市公司(si)利益。堅持依(yi)法監管、分類處置,對(dui)已(yi)形成的資金占(zhan)(zhan)(zhan)用(yong)、違(wei)規(gui)擔(dan)(dan)保(bao)(bao)(bao)問(wen)(wen)題(ti)(ti)(ti),要限(xian)期(qi)予以清償或(huo)化(hua)解;對(dui)限(xian)期(qi)未(wei)整(zheng)改或(huo)新(xin)發生(sheng)的資金占(zhan)(zhan)(zhan)用(yong)、違(wei)規(gui)擔(dan)(dan)保(bao)(bao)(bao)問(wen)(wen)題(ti)(ti)(ti),要嚴厲查(cha)處,構成犯罪的依(yi)法追究刑事責(ze)任。依(yi)法依(yi)規(gui)認定上(shang)市公司(si)對(dui)違(wei)規(gui)擔(dan)(dan)保(bao)(bao)(bao)合(he)同不(bu)承擔(dan)(dan)擔(dan)(dan)保(bao)(bao)(bao)責(ze)任。上(shang)市公司(si)實(shi)(shi)施破產重整(zheng)的,應當提出(chu)解決資金占(zhan)(zhan)(zhan)用(yong)、違(wei)規(gui)擔(dan)(dan)保(bao)(bao)(bao)問(wen)(wen)題(ti)(ti)(ti)的切實(shi)(shi)可(ke)行方(fang)案。(證監會、最(zui)高人民法院、公安部等單(dan)位與(yu)各省級人民政府負責(ze))

六、提高上市公司及相關主體違法違規成本
